Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Isurdan platform, including the People Experience, Expenses, Goals, and Trust products (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

"Customer" refers to the organization that has entered into a subscription agreement with Isurdan. "User" refers to any individual authorized by the Customer to access the Service. Isurdan ("we", "us", "our") operates the Service.

2. Access and Accounts

Access to the Service is provided through the Customer's subscription. The Customer is responsible for authorizing and managing User accounts. Users must keep their login credentials confidential and notify their organization administrator immediately of any unauthorized access.

We reserve the right to suspend or terminate access to any account that violates these Terms or poses a security risk.

3. Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms. You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Attempt to gain unauthorized access to systems or data not intended for you.
  • Use the Service to store or transmit malicious code, infringing material, or unlawful content.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

4. Customer Data

The Customer retains all rights to data submitted to the Service ("Customer Data"). We process Customer Data solely to provide and improve the Service, as described in our Privacy Notice and any applicable Data Processing Agreement.

We do not sell Customer Data. Upon termination of a subscription, we will delete or anonymize Customer Data within 90 days, unless a longer retention period is required by law.

5. Third-Party Integrations

The Service may integrate with third-party services such as Google Calendar, Slack, or Microsoft Teams. Use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you connect a third-party account, you authorize Isurdan to access and process data from that service as necessary to provide the integration features. You may disconnect integrations at any time through your account settings.

6. AI Features

The Service includes AI-powered features such as analytics, recommendations, and content generation. These features are provided as decision-support tools and should not be treated as a substitute for professional judgement. We do not guarantee the accuracy or completeness of AI-generated outputs.

7. Subscription and Payment

Access to the Service requires an active subscription. Subscription terms, pricing, and payment obligations are set out in the Customer's order agreement. Fees are non-refundable except as expressly stated in the order agreement.

We may adjust pricing with at least 30 days' written notice before the next renewal period.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or damage resulting from circumstances beyond our reasonable control.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Isurdan and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. Your subscription provides a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Isurdan's total liability arising from or related to these Terms or the Service shall not exceed the fees paid by the Customer in the 12 months preceding the claim.

We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

11. Termination

Either party may terminate the subscription in accordance with the order agreement. We may suspend or terminate access immediately if you breach these Terms or if required by law.

Upon termination, your right to access the Service ceases. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify Customers of material changes at least 30 days in advance via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
